Position Summary:
Head of Legal is responsible for overseeing all legal functions within the company, ensuring compliance with local and international laws, managing contracts, handling corporate governance, and mitigating legal risks. This role serves as a legal advisor to management, oversees litigation matters, and ensures the company's operations align with regulatory requirements. The position requires strong leadership, problem-solving skills, and the ability to manage multiple legal projects simultaneously.
Key Responsibilities:
1. Legal Compliance & Risk Management
Ensure all company operations comply with local, national, and international laws and regulations.
Identify, assess, and mitigate potential legal risks in company operations, contracts, and business transactions.
Monitor and interpret legal developments, regulatory changes, and industry best practices to ensure the company remains compliant.
Develop and implement legal risk mitigation strategies, policies, and procedures.
Provide legal opinions and recommendations on various company activities and transactions.
2. Contract Drafting, Review & Negotiation
Draft, review, and negotiate commercial contracts, agreements, Memorandums of Understanding (MOUs), and other legal documents with clients, suppliers, partners, and stakeholders.
Ensure contracts are legally sound, align with business objectives, and mitigate legal risks.
Maintain a structured contract management system to track contract execution, renewal, and compliance.
Collaborate with procurement, finance, and other departments to ensure contract terms meet company policies.
3. Corporate Governance & Regulatory Compliance
Ensure compliance with corporate governance laws, including business licensing, board resolutions, shareholder agreements, and company secretarial duties.
Manage corporate documentation, including company registrations, regulatory filings, business licenses, and permits.
Liaise with regulatory authorities, industry associations, and legal consultants to ensure regulatory compliance.
4. Litigation & Dispute Resolution
Handle legal disputes, litigation, arbitration, and mediation involving the company.
Represent the company in court cases, arbitration proceedings, and other legal matters when necessary.
Coordinate with external legal counsel for litigation cases, regulatory investigations, and other legal proceedings.
Develop dispute resolution strategies and provide guidance on legal proceedings.
Maintain records of legal disputes, settlements, and related documentation.
5. Legal Advisory & Documentation
Provide legal counsel to senior management, business units, and operational teams on a variety of legal matters.
Develop and update internal legal policies, templates, and procedures to ensure compliance.
Draft legal memos, opinion letters, and advisory reports for business decisions.
Ensure proper documentation and record-keeping of all company legal matters.
8. External Relations & Stakeholder Management
Maintain strong relationships with external legal advisors, law firms, government agencies, and industry associations.
Represent the company in legal negotiations, regulatory hearings, and compliance meetings.
Work closely with internal teams, including HR, Finance, Operations, and Procurement, to align legal strategies with business goals.

Education & Experience:
Educational Qualification:
Bachelor's or Master's degree in Law
Licensed to practice law (Bar Association membership is preferred).
Work Experience:
Minimum of 8-12 years of experience in corporate legal, with at least 5 years in a managerial role.
Strong experience in corporate law, contract law, litigation, and compliance.
Preferably domiciled in Balikpapan.
Skills & Competencies:
Legal Expertise: In-depth knowledge of corporate law, contract negotiation, and business regulations.
Analytical & Problem-Solving: Ability to assess legal risks and provide strategic solutions.
Negotiation & Communication: Strong negotiation skills for contracts, disputes, and legal discussions.

Leadership & Team Management: Experience leading legal teams and working with senior management.
Regulatory Knowledge: Understanding of local and international legal frameworks affecting the industry.
Litigation & Dispute Resolution: Ability to handle legal disputes, settlements, and court proceedings.
Confidentiality & Ethics: High ethical standards and ability to handle sensitive legal matters.
Project Management: Ability to manage multiple legal projects simultaneously and meet deadlines.
